1. Acceptance of Terms

By accessing and using the services provided by Maple Leaf Financial Group through WFCU Credit Tech ("we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Maple Leaf Financial Group.

If you do not agree to these terms, you must immediately discontinue use of our services. Your continued use of our platform constitutes acceptance of any modifications to these terms.

These Terms of Service apply to all users, including but not limited to browsers, vendors, customers, merchants, and content contributors.

2. Eligibility and Account Requirements

2.1 Age and Legal Capacity

You must be at least 18 years of age and possess the legal capacity to enter into binding contracts under applicable law. By using our services, you represent and warrant that you meet these eligibility requirements.

2.2 Account Registration

To access certain features of our services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Account Security

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, illegal, or harmful activities.

3. Financial Services and Products

3.1 Service Description

WFCU Credit Tech provides technology-enabled financial management solutions, including but not limited to account monitoring, transaction tracking, financial planning tools, and educational resources. Our services are designed to help you better understand and manage your financial obligations.

3.2 Application Process

When you apply for financial products through our platform, you authorize us to obtain and review your financial information, including reports from consumer reporting agencies. All applications are subject to approval based on our underwriting criteria and applicable regulations.

3.3 Rates and Terms

Interest rates, annual percentage rates (APR), fees, and other terms are determined based on multiple factors including your financial profile, the product type, current market conditions, and regulatory requirements. All rates and terms will be clearly disclosed to you before you accept any financial product.

Rates may be fixed or variable as specified in your product agreement. Variable rates are subject to change based on market indices and will be adjusted according to the terms disclosed in your specific product documentation.

4. Fees and Charges

4.1 Service Fees

We may charge fees for certain services, including but not limited to account maintenance, transaction processing, document preparation, and expedited services. All applicable fees will be clearly disclosed before you incur them.

4.2 Late Payment Fees

If you fail to make a required payment by the due date, you may be charged a late fee as specified in your product agreement. Late fees are calculated in accordance with applicable federal and provincial regulations and will not exceed the maximum amounts permitted by law.

4.3 Returned Payment Fees

If a payment is returned due to insufficient funds or other reasons, you will be charged a returned payment fee. You remain responsible for the original payment amount plus any applicable fees.

4.4 Fee Modifications

We reserve the right to modify our fee structure with appropriate notice as required by law. You will be notified of any fee changes at least 30 days before they take effect, and your continued use of our services constitutes acceptance of the modified fees.

5. Borrower Obligations and Responsibilities

5.1 Payment Obligations

You agree to make all payments in accordance with the terms specified in your product agreement. Payments must be received by the due date to avoid late fees and potential negative impacts on your financial standing. You are responsible for ensuring that payments are submitted with sufficient time for processing.

5.2 Accurate Information

You must provide accurate, truthful, and complete information in all applications and communications with us. You agree to promptly update your information if there are any material changes to your financial situation, employment status, contact information, or other relevant details.

5.3 Authorized Use

You agree to use our services and any funds provided only for lawful purposes and in accordance with these terms. You may not use our services for any illegal activities, fraudulent purposes, or in any manner that could damage, disable, or impair our systems.

5.4 Communication Requirements

You agree to maintain current contact information and to respond promptly to our communications. You consent to receive electronic communications from us, including account statements, notices, disclosures, and other information. You may opt out of electronic communications by contacting us, but certain communications may still be required by law.

5.5 Reporting Changes

You must immediately notify us of any changes that may affect your ability to fulfill your obligations, including job loss, significant income reduction, relocation, or other material changes to your financial circumstances.

6. Default and Remedies

6.1 Events of Default

You will be in default under these terms if you: (a) fail to make any required payment when due; (b) provide false or misleading information; (c) breach any material term of this agreement; (d) become subject to bankruptcy or insolvency proceedings; or (e) engage in fraudulent activities.

6.2 Consequences of Default

Upon default, we may: (a) declare all outstanding amounts immediately due and payable; (b) suspend or terminate your access to services; (c) report the default to consumer reporting agencies; (d) pursue collection activities; and (e) exercise any other rights available under law or your product agreement.

6.3 Collection Costs

If we engage collection services or legal counsel to recover amounts owed, you will be responsible for reasonable collection costs, attorney fees, and court costs to the extent permitted by law.

6.4 Right to Cure

In certain circumstances, you may have the right to cure a default by making all past-due payments plus applicable fees within a specified cure period. The availability and terms of cure rights will be determined by applicable law and your specific product agreement.

7. Privacy and Data Protection

7.1 Information Collection and Use

We collect, use, and protect your personal and financial information in accordance with our Privacy Policy and applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA). By using our services, you consent to our collection and use of your information as described in our Privacy Policy.

7.2 Information Sharing

We may share your information with: (a) service providers who assist in our operations; (b) consumer reporting agencies; (c) regulatory authorities as required by law; (d) affiliated companies within our corporate family; and (e) third parties with your consent. We do not sell your personal information to third parties for marketing purposes.

7.3 Data Security

8. Intellectual Property Rights

All content, features, and functionality of our platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Maple Leaf Financial Group or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platform for personal, non-commercial purposes in accordance with these terms. This license does not include any right to: (a) resell or commercial use of our services; (b) collection and use of product listings or descriptions; (c) derivative use of our platform or its contents; or (d) any use of data mining, robots, or similar data gathering tools.

8.3 Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our platform, except as necessary for your personal use of our services. You may not access or use our platform for any purpose that is unlawful or prohibited by these terms.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

We strive to maintain continuous availability of our services, but we do not guarantee uninterrupted or error-free operation. Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Financial Advice Disclaimer

The information and tools provided through our platform are for informational purposes only and do not constitute financial, legal, or professional advice. You should consult with qualified professionals before making financial decisions. We are not responsible for any decisions you make based on information obtained through our services.

9.3 Limitation of Liability

To the maximum extent permitted by applicable law, Maple Leaf Financial Group and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use our services; (b) any conduct or content of any third party on our platform; (c) any content obtained from our platform; or (d) unauthorized access, use, or alteration of your transmissions or content.

9.4 Maximum Liability

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you have paid to us in the twelve months preceding the claim, or one hundred Canadian dollars ($100 CAD), whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Maple Leaf Financial Group, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service
  • Your use or misuse of our services
  • Your breach of any representation or warranty contained in these terms
  • Your violation of any rights of a third party
  • Your violation of any applicable laws, rules, or regulations
  • Any content you submit, post, or transmit through our services
  • Any fraudulent or illegal activities conducted through your account

This indemnification obligation will survive the termination of these Terms of Service and your use of our services.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms of Service and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

11.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these terms or our services shall be brought exclusively in the courts located in Toronto, Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

11.3 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us to attempt to resolve any dispute informally. We will make reasonable efforts to resolve disputes through good faith negotiations.

11.4 Arbitration

If informal resolution is unsuccessful, disputes may be resolved through binding arbitration in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted in Toronto, Ontario, in English, and the arbitrator's decision shall be final and binding.

11.5 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Modifications to Terms

12.1 Right to Modify

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last Updated" date at the top of this document. For significant changes, we may also provide additional notice through email or prominent notices on our platform.

12.2 Acceptance of Changes

Your continued use of our services after the effective date of any modifications constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you must discontinue use of our services.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at 416-879-5555 or visiting our office at 123 Bay Street, Toronto, M5J 2J1, Canada. Upon termination, you remain responsible for all outstanding obligations and amounts owed.

13.2 Termination by Us

We may suspend or terminate your access to our services immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these terms; (b) fraudulent or illegal activity; (c) requests by law enforcement or government agencies; (d) discontinuation or material modification of our services; or (e) unexpected technical or security issues.

13.3 Effect of Termination

Upon termination: (a) your right to use our services will immediately cease; (b) all outstanding amounts owed become immediately due and payable; (c) we may delete your account and all associated data; and (d) provisions of these terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13.4 No Refunds

Except as required by law or as expressly stated in your product agreement, termination of your account does not entitle you to any refund of fees paid or cancellation of amounts owed.

14. General Provisions

14.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific product agreements, constitute the entire agreement between you and Maple Leaf Financial Group regarding our services and supersede all prior agreements and understandings, whether written or oral.

14.2 Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.3 Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Maple Leaf Financial Group.

14.4 Assignment

You may not assign or transfer these terms or your rights and obligations under them without our prior written consent. We may assign these terms and our rights and obligations without restriction, including to any affiliate or in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.6 Notices

All notices required or permitted under these terms shall be in writing and delivered by email, postal mail, or courier to the addresses provided in your account or to our contact information listed below. Notices shall be deemed given when received.

14.7 Relationship of Parties

Nothing in these terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Maple Leaf Financial Group. You have no authority to bind us or make commitments on our behalf.
